By-Laws of the Nevada City Ladies Aid and Friends Association Article I NAME AND MISSION SECTION

1. NAME. The name of this organization shall be Nevada City Ladies Aid and Friends Association and also may be called The Ladies Aid or The Friends.

SECTION 2. GOALS. The goals of the Ladies Aid and Friends is to support the Monfaria Heritage Commission Living History program vision and mission of historic education and interpretation. SECTION 3. PURPOSE. The purpose of the Ladies Aid and Friends is to: A. Bring to as broad an audience as . possible a graphic historical and educational experience using reenacting skills; authentic period dress; , and material culture. B, Support programs, fundraising i .. ,; proj,ects, and restorations as applicable. C. Provide historical consultation and assistance to those sites or agencies that request it in collaboration with Montana Heritage Commission.

SECTION 4. PHILOSOPHY. The Nevada City Ladies Aid and Friends Association is a non-profit, non-political, non-sectarian, and n.pn-discriminatory organization, and will adqere to any policies written herein.

I Article II GENERAL POLICIES

A. The Ladies Aid and Friends Association is organized exclusively for educational purposes as specified din section 501(c)3 of the Internal Revenue Code of 1954 (IRC) and shall not carry on any activities not permitted to be carried on by a corporation exempt from federal income tax under IRC Section 501(c)3. B. No part of the net earnings of the corp. oration shall insure to the benefit of any member, director, office of the corporation, or any private individual.

C. Friends Association Living History Personal Property Acquisition:

1. All personal property purchased by or gifted to the Nevada City Ladies Aid and Friends Association for the Montana Heritage Commission (MHC) Living History Program and its volunteers will be identified by an agreed upon permanent mark to distinguish it from personal property managed by the MHC and belonging to the State of Montana, which includes the original 1997 State of Montana purchase of Bovey personal propertie�: - now the Virginia City and Nevada City Collections.

Article III MEMBERSHIP 7 A. Membership in the Nevada City Ladies Aid and Friends Association is available to all interested individuals.

Article IV MEMBERSHIP MEETINGS A. An Annual General Membership Meeting of the Association shall be held during the months of June - , July -August of each year at a date chosen by the Directors to be held in Nevada City.

Article V BOARD OF DIRECTORS SECTION 1. RESPONSIBILITIES OF THE BOARD OF DIRECTORS.

A. The Board of Directors is the legal arm of the membership and is held . , . liable by the IRS for all portions of a nonprofit corporation status with no exception.

B. The Board of Directors will serve as governing body of the Association, The Board will consist of 5 elected Directors. I of the 5 shall be a member of the MHC Board to act as liaison between Association and the MHC Board of Commissioners. 

C. It s to be the responsibility of the  Board of Directors to establish policy for its association and to approve and sanction such events and functions as deemed appropriate.

Article VI PARLIAMENTARY

SECTION 1. RULES OF ORDER. Roberts Rules of Order shall apply in the proceedings of any meeting.

SECTION 2. Amendments or revisions of these by-laws shall be made as need arises.
